Terms of Use

1. Acceptance of Terms

By accessing or using the PDA Platform website (pdaplatform.com) or any associated services ("the Platform"), you agree to be bound by these Terms of Use. These Terms constitute a legally binding agreement between you and BD SELECT ("the Company"), the operator of PDA Platform, registered in Dubai, UAE. If you do not agree to these Terms, you must not use the Platform.

2. Description of the Platform

PDA Platform provides structured two-phase team performance diagnostic services, including the IMPACT (Phase 1) and DELTA (Phase 2) diagnostic modules, associated reporting tools, and partner resources. The Platform is made available to:

• Partner users: qualified coaches, HR consultants, trainers, and talent specialists who have entered into a partnership agreement with PDA Platform.
• Diagnostic participants: individuals invited by partner users or client organisations to complete the PDA questionnaire.
• Website visitors: individuals accessing public content at pdaplatform.com.

3. Intellectual Property

All content on PDA Platform — including but not limited to text, diagnostic instruments, reports, methodology documentation, visual design, software, and trademarks — is the exclusive property of BD SELECT and is protected by applicable intellectual property laws.

• You may not copy, reproduce, republish, transmit, or distribute any content from the Platform without prior written permission from BD SELECT.
• Partner users are granted a limited, non-exclusive, non-transferable licence to use the Platform for the purposes described in their partnership agreement.
• Diagnostic reports generated through the Platform may be shared with the client organisation for which the diagnostic was commissioned. They may not be published, sold, or distributed beyond this purpose without written consent.
• "PDA Platform", "Performance Diagnostic Assets", "IMPACT", and "DELTA" are trademarks of BD SELECT. Use of these marks without permission is prohibited.

4. Partner User Obligations

Registered partner users agree to:

• Use the Platform only for legitimate diagnostic engagements with genuine client organisations.
• Ensure that diagnostic participants are informed of the anonymous nature of the questionnaire and the purpose of the diagnostic.
• Not attempt to de-anonymise participant responses or manipulate the diagnostic process to produce predetermined outcomes.
• Maintain the confidentiality of platform access credentials and not share login details with unauthorised parties.
• Represent PDA Platform's methodology accurately and not make claims about the diagnostic that exceed the scope of its validated capabilities.
• Comply with applicable data protection laws in the jurisdictions where they operate.

5. Diagnostic Participant Terms

Participants invited to complete a PDA diagnostic questionnaire acknowledge that:

• Their individual responses are anonymous and cannot be identified by their employer, their coach, or PDA Platform.
• Their participation is voluntary. There are no negative consequences for declining to participate.
• The diagnostic is not a psychological assessment of individual capability, personality, or fitness for employment. It is a team-level performance diagnostic tool.
• Results are reported at the team aggregate level only.

6. Prohibited Uses

You must not use PDA Platform for any of the following purposes:

• Any purpose that is unlawful, fraudulent, or harmful.
• Attempting to gain unauthorised access to any part of the Platform or its underlying systems.
• Using the Platform to discriminate against individuals based on protected characteristics.
• Reverse engineering, decompiling, or attempting to extract the source code of any Platform software.
• Using automated tools (bots, scrapers) to access or harvest content from the Platform.
• Reselling, sublicensing, or white-labelling Platform access without an explicit White-label partnership agreement.

7. Disclaimer of Warranties

The Platform is provided "as is" and "as available". BD SELECT makes no warranties, express or implied, regarding the Platform's fitness for a particular purpose, uninterrupted availability, or the accuracy of diagnostic outputs beyond the validated scope of the methodology. Diagnostic results are decision-support tools and should be interpreted by qualified professionals. They do not constitute professional psychological, medical, or legal advice.

8. Limitation of Liability

To the maximum extent permitted by applicable law, BD SELECT and PDA Platform shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform, including but not limited to: loss of revenue, loss of data, loss of business opportunity, or reputational damage. Our total aggregate liability for any claim arising under these Terms shall not exceed the fees paid by you to PDA Platform in the 12 months preceding the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless BD SELECT, its directors, employees, and partners from any claims, damages, losses, and expenses (including legal fees) arising from your breach of these Terms, your use of the Platform in violation of applicable law, or your infringement of any third-party rights.

10. Modifications to the Platform and Terms

BD SELECT reserves the right to modify, suspend, or discontinue any part of the Platform at any time. We may update these Terms from time to time. Material changes will be communicated to registered users by email. Continued use of the Platform after updated Terms are posted constitutes acceptance of the revised Terms.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Emirate of Dubai and the federal laws of the United Arab Emirates, without regard to conflict of law principles. Any disputes arising from these Terms shall first be subject to good-faith negotiation. If unresolved, disputes shall be submitted to the exclusive jurisdiction of the courts of Dubai, UAE.

12. Severability

If any provision of these Terms is found to be unenforceable or invalid under applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
